Terms of Service

1. Acceptance of These Terms

In short: By using PleasePray, you agree to these Terms.

By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization (for example, a parish), you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

2. Eligibility

In short: You must be at least 18.

You must be 18 years of age or older (or the age of majority in your jurisdiction, whichever is greater) to use the Service. By using PleasePray, you represent that you meet this requirement. We do not knowingly allow anyone under 18 to create an account or interact with Beth.

3. Your Account

In short: Keep your account secure and your information accurate. We can suspend accounts that misuse the Service.

• Creation. You can create an account using your email address or, where supported, a phone number with one-time-passcode verification. You agree to provide accurate information and to keep it up to date.
• Security. You're responsible for maintaining the security of your credentials and for all activity that happens under your account. Notify us immediately at cespinoza@pleasepray.app if you believe your account has been compromised.
• One person, one identity. Don't impersonate another person or create accounts using someone else's information without permission.
• Termination by you. You can delete your account at any time by emailing cespinoza@pleasepray.app. Deletion is handled as described in our Privacy Policy.
• Termination by us. We may suspend or terminate your account, with or without notice, if we believe in good faith that you have violated these Terms, that your continued use poses a risk to other users or to the Service, or that we are required to do so by law. Where reasonable, we will give you notice and an opportunity to cure.

4. The Service

In short: PleasePray is a Catholic prayer-first crowdfunding platform. You can create Prayer Circles, log prayers, leave comments and offerings, submit prayer requests, optionally raise funds, and chat with Beth, our AI prayer assistant.

The Service is provided free of charge for users. Optional fundraising features are subject to the fees described in Section 7.

4.1 Prayer Circles

A Prayer Circle is a page where you commit to or invite others to pray for an intention. There are three types:

• Intercessor prayer circles are anchored by a saint of your choosing. You write the intention and invite others to pray.
• Rosary prayer circles are anchored by a Marian advocation. You commit to praying decades of the Rosary for an intention.
• Pilgrimage prayer circles are anchored by a Marian advocation tied to a shrine. Family and friends submit prayer intentions for you to carry to the shrine, and you mark each intention as prayed.

You decide whether each Prayer Circle is public (discoverable and viewable by anyone with the link) or limited in scope (for example, to your parish). Public Prayer Circles may appear in our Explore feed.

4.2 Prayer logging, comments, and offerings

You can log prayers on Prayer Circles, leave comments, and post offerings (such as candles, intentions, or simple notes of support). You may post anonymously where the option is offered. We may apply moderation to comments and other community content.

4.3 Prayer requests (pilgrimage prayer circles)

For pilgrimage prayer circles, requesters — who may not be PleasePray account holders — can submit a name, contact information, and an intention text for the prayer circle owner to pray. By submitting a prayer request, you represent that you have the right to share that intention and any personal information it contains, and that the information does not violate anyone else's privacy or other rights.

Each prayer request honors the requester's anonymity and privacy flags when displayed publicly. You can request deletion of a prayer request you submitted by emailing cespinoza@pleasepray.app.

4.4 Donations and creator fundraising

Donations and creator fundraising are described in Section 7.

4.5 Beth — the SMS / WhatsApp prayer assistant

Beth is an AI-powered prayer assistant available over SMS and WhatsApp. Beth can help you create a Prayer Circle, send you milestone alerts, gentle reminders, and community updates, and respond to your messages in conversation. Beth's full SMS-program terms — including frequency, opt-in, opt-out, and disclosures — are in Section 8.

Beth is an AI system, not a human. Beth does not provide medical, mental-health, legal, financial, or clergy advice. See Section 10 for important disclaimers.

5. User Content and Licensing

In short: What you post is yours. You give us a license to host and display it so the Service can work.

5.1 Ownership

You retain ownership of all content you submit to the Service, including Prayer Circle titles and stories, photos, comments, offerings, prayer intentions, prayer requests, and messages to Beth ("User Content"). AI-enhanced versions of your content (for example, a story we help polish) remain yours.

5.2 License to PleasePray

You grant PleasePray a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for technical formatting and translation), create derivative works of (for example, AI-enhanced versions you request), publicly display, publicly perform, distribute, and otherwise use your User Content solely to operate, provide, secure, and improve the Service and to allow our service providers (such as our hosting, AI, email, and messaging vendors) to do the same on our behalf. This license ends when you or we delete the relevant User Content from the Service, except that we may retain backup or archival copies for a reasonable period.

5.3 Public visibility

If you mark a Prayer Circle as public, your User Content on that prayer circle may be viewed by anyone with the link or who finds the prayer circle through Explore. Comments and offerings posted publicly are visible to other users. Don't post anything you aren't comfortable making public.

5.4 Your representations

You represent and warrant that you own or have the necessary rights to your User Content, that your User Content does not infringe anyone else's rights, and that you will not violate Section 6.

5.5 Feedback

If you send us feedback or suggestions, we may use them without obligation to you.

6. Acceptable Use

In short: Be honest, be kind, and don't break the law.

You agree not to use the Service to:

• Harass, threaten, defame, or harm any person
• Post false, misleading, or fraudulent content, including misrepresenting your identity, the beneficiary of a Prayer Circle, or a fundraising goal
• Impersonate another person, organization, or PleasePray itself
• Solicit donations under false pretenses or use the Service to launder funds
• Post content that is unlawful, obscene, hateful, or that infringes intellectual property, privacy, or publicity rights
• Submit prayer requests or other personal information about a third party without that person's permission
• Use the Service for any commercial purpose other than the donation and fundraising features we explicitly offer
• Scrape, crawl, or harvest data from the Service except as expressly permitted, or use the Service to train AI or machine-learning models
• Interfere with the Service, attempt to gain unauthorized access, probe or test for vulnerabilities without permission, or evade rate limits, security measures, or our suppression list
• Abuse, spam, or attempt to manipulate Beth (including prompt-injection attempts intended to extract data or bypass safety measures)
• Use the Service in violation of any applicable law, regulation, or sanction

We may remove content, restrict features, or suspend or terminate accounts that violate these rules.

7. Donations and Creator Fundraising

In short: Donations are processed by Stripe. Creators in eligible countries can collect funds through Stripe Connect Express. Donations are final and non-refundable except in limited cases.

7.1 Donations

Donations on PleasePray are processed by Stripe, Inc. through Stripe Checkout. By making a donation, you also agree to Stripe's terms for the payment portion of the transaction. You authorize the charge in the amount you select, plus any optional tip you choose to give to PleasePray.

7.2 Two payout models

A Prayer Circle may operate under one of two payout models:

• Platform-held. Donations are received and held by PleasePray and disbursed to the creator according to our payout process for that prayer circle.
• Stripe Connect. When a creator has enabled Stripe Connect Express, donations are charged directly to the creator's connected Stripe account at the time of payment. PleasePray collects a platform fee but does not hold the principal.

The model in effect for a given prayer circle is shown to donors at checkout where applicable.

7.3 Eligibility for creator fundraising

Creator fundraising is currently available only to creators in the United States. We may expand this list over time. Creators must complete Stripe Connect Express identity verification (KYC); Stripe is the source of truth for whether a creator may accept funds. Donors are unrestricted by country.

7.4 Fees and tips

PleasePray charges a platform fee on each donation. Stripe also charges its own payment-processing fees. The exact fee for a given donation depends on the payout model and is calculated at checkout. You may also choose to leave an optional tip to support PleasePray; tips are paid to PleasePray and are not part of the creator's fundraising total.

7.5 Refunds

Donations are final and non-refundable, except: (a) where required by law; (b) in cases of demonstrable fraud, duplicate charges, or technical error, at PleasePray's sole discretion; or (c) through your card issuer's chargeback process.

• Platform-held prayer circles. Where the donation has not yet been disbursed to the creator, PleasePray may, at its sole discretion, refund a donation in the cases listed above.
• Stripe Connect prayer circles. Once funds have settled to the creator's connected Stripe account, only the creator (or Stripe through a chargeback) can refund the donation — PleasePray cannot claw back funds that have moved to a creator.
• Platform fees and tips paid to PleasePray are non-refundable except where required by law.

7.6 Creator obligations

If you raise funds through a Prayer Circle, you agree that:

• Your fundraising goal, beneficiary, and intended use of funds are accurate and not misleading.
• You will use the funds for the purpose stated on your Prayer Circle, or you will refund supporters if you cannot.
• You are responsible for delivering on any commitments you make to your supporters.
• You will comply with all applicable laws, including those governing solicitation of funds, sanctions, anti-money-laundering, and consumer protection.

7.7 Tax status

PleasePray is a for-profit Delaware C-corporation. Donations made through PleasePray are not tax-deductible unless the creator is a separately verified tax-exempt organization that has documented its status to its donors. PleasePray does not issue tax-deductible receipts. Each creator and donor is solely responsible for their own tax reporting and obligations. We recommend you consult your own tax advisor.

7.8 No financial or investment advice

PleasePray is not a financial institution, broker, charity, or registered fundraising platform. We do not provide financial, investment, or legal advice in connection with donations or fundraising.

8. SMS and WhatsApp Program (Beth)

In short: Beth is the SMS/WhatsApp prayer assistant. Up to 4 messages a month. Reply STOP to opt out.

8.1 Quick reference

8.2 What Beth sends

Messages from Beth include prayer milestone alerts, gentle engagement reminders to keep your prayer intention alive, community updates (comments, offerings, prayer requests on your Prayer Circle), and conversational replies when you message Beth directly.

8.3 Opt-in

You opt in by entering your phone number, actively checking an unchecked consent checkbox, and verifying your number with a one-time passcode sent by SMS. The exact disclosure shown at opt-in is:

"By providing your number, you agree to receive messages from Beth by PleasePray. Up to 4 msgs/month. Msg & data rates may apply. Reply HELP for help, STOP to cancel."

We retain a record of your consent (including the exact text, time, and method) for compliance purposes.

8.4 Opt-out

Reply STOP (or UNSUBSCRIBE, CANCEL, END, QUIT) at any time to opt out of all further messages on that channel. Once you opt out, your number is added to our suppression list and will not receive further messages unless you opt in again. You can also turn messaging off in your account settings.

8.5 Help

Reply HELP at any time for support information, or contact us at support@pleasepray.app.

8.6 Carrier disclaimer

Carriers (including AT&T, Verizon, T-Mobile, U.S. Cellular, and regional carriers) are not liable for delayed or undelivered messages. Message delivery is not guaranteed.

8.7 Mobile information

No mobile information (including your phone number, SMS opt-in status, and the content of text messages) will be shared with third parties or affiliates for marketing or promotional purposes at any time. See our Privacy Policy for full details on how we handle messaging data.

9. Intellectual Property

In short: PleasePray's brand, software, and design are ours. If you think someone is infringing your copyright, send us a DMCA notice.

9.1 PleasePray's IP

The Service, including its software, design, look and feel, the names "PleasePray," "RezaPorMi," "Beth," "Deo Duce," related logos, and all associated trademarks, are the property of Deo Duce Ventures Inc. or its licensors. Except for the limited license to use the Service that these Terms grant you, nothing here transfers any of our intellectual property to you.

9.2 DMCA / copyright claims

If you believe content on the Service infringes your copyright, send a written notice to our designated agent containing:

1. Your physical or electronic signature;
2. Identification of the copyrighted work claimed to be infringed;
3. Identification of the allegedly infringing material and its location on the Service;
4. Your contact information (address, phone, email);
5. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
6. A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

In short: The Service is provided "as is." Beth is not a clergy member, doctor, lawyer, or financial advisor.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT MESSAGES OR NOTIFICATIONS WILL BE DELIVERED.

Beth does not provide medical, mental-health, legal, financial, or clergy advice. Information from Beth is for general spiritual encouragement only and is not a substitute for professional advice or pastoral care. If you are in crisis, contact a qualified professional or, in an emergency, your local emergency services.

PleasePray does not endorse, verify, or vouch for the truthfulness of any User Content, including any Prayer Circle, beneficiary description, or fundraising goal. You interact with other users and creators at your own risk.

Some jurisdictions do not allow the disclaimer of certain warranties, in which case the disclaimers above apply to the maximum extent permitted by law.

11. Limitation of Liability

In short: To the fullest extent allowed by law, our total liability is capped at $100.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PLEASEPRAY (DEO DUCE VENTURES INC.), ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, in which case the limitations above apply to the maximum extent permitted by law.

12. Indemnification

In short: If your use of the Service or your content gets us sued, you agree to cover us.

You agree to defend, indemnify, and hold harmless PleasePray (Deo Duce Ventures Inc.) and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any law or any third-party right, including intellectual property, publicity, or privacy rights; or (e) any fundraising you conduct on the Service.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.

13. Modifications to the Service or These Terms

In short: We may change the Service or these Terms. If a change is material, we'll tell you before it takes effect.

We may modify, suspend, or discontinue all or part of the Service at any time, with or without notice. We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you by email or a prominent notice on the Service before the change takes effect. Your continued use of the Service after the effective date of an updated version of these Terms constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

In short: Delaware law governs. Try to work it out with us informally first; otherwise, courts in Delaware have exclusive jurisdiction.

14.1 Governing law

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14.2 Informal dispute resolution

Before filing a claim, you agree to attempt to resolve the dispute informally by emailing cespinoza@pleasepray.app with a description of the dispute and the relief you're seeking. We will do the same. If we cannot resolve the dispute within 60 days of the first such email, either party may proceed to formal proceedings.

14.3 Forum

Any action or proceeding arising out of or relating to these Terms or the Service that is not resolved informally must be brought exclusively in the state or federal courts located in Delaware, and you and PleasePray each consent to the personal jurisdiction of those courts and waive any objection to venue there.

14.4 No class actions

To the extent permitted by law, you and PleasePray each agree to bring claims against the other only in your individual capacity and not as a plaintiff or class member in any purported class or representative action.

15. Miscellaneous

In short: Standard housekeeping.

• Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and PleasePray regarding the Service and supersede any prior agreements on the same subject.
• Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets, on notice to you.
• No agency. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and PleasePray.
• Force majeure. We are not liable for failure or delay in performance caused by events beyond our reasonable control.
• Headings. Section headings are for convenience only and do not affect interpretation.
• Language. These Terms are written in English. Translations are provided for convenience; the English version controls in case of conflict.
